Role Overview
As a Governance Manager, you will play a pivotal role in embedding and sustaining best practices in corporate governance to drive transparency, accountability, and operational excellence across the organization. Your expertise will be instrumental in developing and maintaining a robust governance framework that ensures full compliance with legal and regulatory requirements while fostering a culture of ethical decision-making and sustainable growth. Key Responsibilities
The Governance Manager will be responsible for the following core functions:
- Governance Framework Development and Maintenance: Design, implement, and continuously refine internal policies, procedures, and governance frameworks to align with evolving regulatory requirements, industry standards, and the Company’s strategic objectives. Ensure these frameworks are documented, accessible, and consistently applied across all business units.
- Compliance and Risk Management: Identify, assess, and mitigate governance-related risks, including conflicts of interest, ethical breaches, and policy non-compliance. Develop and implement risk mitigation strategies to safeguard the Company’s integrity and reputation. Collaborate with internal audit teams to conduct regular reviews and audits of governance processes, ensuring adherence to approved policies and regulatory obligations.
- Transparency and Accountability: Establish and enforce a clear accountability framework that promotes transparency in decision-making processes. Ensure all decisions are well-documented, traceable, and aligned with the Company’s governance principles. Prepare and present periodic governance reports to the Board, highlighting key challenges, risks, opportunities for improvement, and progress against established KPIs.
- Stakeholder Engagement and Communication: Build and maintain strong relationships with external advisors, regulators, and key stakeholders to ensure governance practices reflect industry best practices and regulatory expectations. Act as a liaison between the Company and external bodies to facilitate seamless compliance with legal and regulatory obligations. Promote a culture of governance awareness among employees and management through targeted training programs and communication initiatives.
- Performance Monitoring and Continuous Improvement: Evaluate the effectiveness of the current governance framework and identify opportunities for enhancement. Stay abreast of emerging governance standards, regulatory developments, and industry trends, and recommend strategic adjustments to improve the Company’s governance posture. Monitor team performance, provide guidance and support to team members, and ensure the delivery of high-quality governance services that support organizational objectives.
- Team Leadership and Development: Lead, motivate, and develop a high-performing governance team by fostering a collaborative and results-driven work environment. Design and deliver training and development programs to enhance the skills and capabilities of team members, ensuring they are equipped to meet evolving governance challenges. Prepare and submit regular performance reports to senior management, outlining achievements, challenges, and required resources to support informed decision-making.
Qualifications and Skills
To excel in this role, candidates must meet the following requirements:
- Education: Bachelor’s degree in Business Administration, Corporate Governance, Law, Finance, or a related field. Advanced degrees or professional certifications in governance, compliance, or risk management are highly desirable.
- Knowledge and Experience: Proven experience in corporate governance, compliance, or a related field, with a deep understanding of governance principles, frameworks, and local regulatory requirements. Familiarity with industry-specific regulations and best practices is essential.
