Director of Corporate Development – Strategic Growth Leadership in Saudi Arabia
We are seeking a visionary Director of Corporate Development to drive the inorganic growth strategy of our partner organization based in Saudi Arabia. In this pivotal role, you will spearhead the full spectrum of corporate development initiatives—from identifying high-potential opportunities to executing transformative transactions and ensuring seamless post-close integration. Reporting directly to the Chief Financial Officer, you will play a critical role in shaping the company’s long-term expansion, capital allocation, and strategic financing initiatives, while operating with autonomy in a fully remote, flexible environment.

Key Responsibilities
As the Director of Corporate Development, your responsibilities will span the entire lifecycle of inorganic growth initiatives, ensuring alignment with the company’s strategic priorities:
- Pipeline Development and Opportunity Sourcing: Build and manage a disciplined pipeline of acquisition opportunities through comprehensive market mapping, competitive analysis, and strategic outreach to industry leaders, bankers, brokers, founders, and advisors. Leverage your network to identify high-impact targets that drive long-term value.
- Strategic Screening and Evaluation: Establish and enforce a robust screening methodology to assess opportunities based on strategic fit, financial returns, technological synergy, integration complexity, and counterparty risk. Prepare concise, data-driven assessments that clearly outline transaction costs, expected returns, key assumptions, and potential outcomes.
- Financial Modeling and Due Diligence: Develop sophisticated valuation, transaction, scenario, and sensitivity models, including synergy and financing analyses. Lead cross-functional due diligence efforts, encompassing financial, legal, technological, and operational evaluations, to mitigate risks and inform deal structuring.
- Leadership and Principal Diligence: Conduct thorough background checks on target leadership, including reference validation, litigation reviews, and reputation assessments. Translate findings into actionable recommendations for deal structuring, risk mitigation, and negotiation strategies.
- Transaction Execution and Negotiation: Collaborate with legal advisors to structure transactions, negotiate terms, and recommend retention arrangements, earnouts, indemnification clauses, and escrow provisions. Prepare rigorous materials for executive and board-level approval, anticipating key questions and providing evidence-based recommendations.
- Post-Close Integration: Oversee the integration process, including the development of 100-day plans, cross-functional workstreams, financial reporting alignment, systems transitions, and escalation management. Track completed transactions against original investment theses, reporting integration costs, realized synergies, and performance variances to drive continuous improvement.
- Strategic Partnerships and Alliances: Identify and evaluate strategic alliances, joint ventures, and major commercial agreements as alternatives or complements to acquisitions. Assess partnership economics, governance structures, contribution and exit terms, pricing, exclusivity, and minimum commitments to maximize value.
- Capital Allocation and Financing: Partner with senior leadership to support debt and equity financing initiatives, including financial modeling, use-of-proceeds analysis, and capital structure optimization. Contribute to the company’s 3-to-5-year growth strategy, encompassing market landscapes, competitive analysis, and decisions around organic investment, acquisitions, and partnerships.
- Documentation and Knowledge Management: Maintain comprehensive documentation of evaluated and declined opportunities, along with rationale for decisions, to inform future strategic decisions and organizational learning.
