Strategic Finance Leadership for a High-Growth Technology Company

We are seeking a visionary and commercially astute VP Finance Director to spearhead the finance function of a rapidly expanding technology company at a pivotal stage of its growth trajectory. Reporting directly to the CEO, this executive role demands a strategic mindset with extensive exposure to the Board, shareholders, institutional investors, lenders, investment banks, and external advisers. The ideal candidate will drive corporate finance strategy, capital-raising initiatives, mergers and acquisitions (M&A), and prepare the company for an IPO, while fostering a scalable finance organization capable of supporting sustained growth and future public-market requirements.

This is not a conventional controllership or financial planning and analysis (FP&A) role. Instead, it requires a seasoned finance executive with a proven track record in high-stakes transactions, capital markets expertise, and a deep understanding of value creation in dynamic business environments.

Key Responsibilities

In this dynamic role, the VP Finance Director will:

• Lead Corporate and Strategic Finance: Serve as the CEO’s and Board’s trusted strategic finance partner, shaping the company’s corporate finance strategy, capital allocation, and long-range planning. Provide data-driven financial insights to guide critical decisions on growth, investment, and expansion initiatives. Oversee FP&A, treasury management, cash flow optimization, financial reporting, tax strategy, audit processes, and financial governance to ensure alignment with business objectives.
• Drive Fundraising and Capital Markets: Lead equity and debt fundraising efforts, engaging institutional investors, private equity/venture capital funds, banks, and other capital providers. Develop and own financial models, valuations, investment cases, and transaction materials, while managing relationships with investors, lenders, investment banks, and external advisers. Optimize the company’s capital structure and liquidity to support sustainable growth.
• Execute M&A and Corporate Development: Lead the end-to-end M&A process, from origination and valuation to due diligence, negotiation, and post-deal integration. Evaluate strategic acquisitions, partnerships, and investments, developing transaction structures and overseeing financial and commercial due diligence. Ensure seamless integration and maximize value realization post-transaction.
• Prepare for IPO and Public-Listing Readiness: Lead the finance workstream for the company’s IPO and public-market transition, strengthening financial reporting, governance, internal controls, systems, and processes to meet public-company standards. Collaborate with investment banks, auditors, legal advisers, consultants, and regulators to support financial due diligence, valuation, prospectus preparation, investor materials, and listing activities.
• Build and Scale the Finance Organization: Establish a high-performing finance team by driving transformation, automation, scalability, and process improvement. Implement robust governance, controls, reporting, and performance management frameworks. Ensure compliance with IFRS and Saudi regulatory requirements, including those from the Capital Market Authority (CMA) and ZATCA.

Qualifications and Experience

The successful candidate will possess:

• Essential:
• 15+ years of progressive finance leadership experience, with prior roles as a Finance Director, Senior Finance Director, or VP Finance, or equivalent.
• Deep expertise in technology, SaaS, fintech, software, digital, or information services sectors, with a strong focus on Saudi Arabia’s market dynamics.
• Proven experience leading equity and debt fundraising, including relationships with institutional investors, PE/VC funds, and banks.
• End-to-end M&A execution experience, from deal origination to post-integration value realization.
• Direct hands-on experience with IPO or public-listing readiness, including financial due diligence, prospectus preparation, and investor relations.
• Strong expertise in corporate finance, valuation, financial modeling, treasury management, capital markets, and governance, with in-depth knowledge of IFRS standards.
• Fluency in Arabic (native level) and fluent English for effective cross-functional and international communication.
• Preferred:
• An MBA or professional certifications such as CPA, ACA, ACCA, or CMA.
• Experience navigating Saudi capital markets, CMA regulations, Tadawul listings, and ZATCA compliance.
• Prior collaboration with investment banks on IPOs, fundraising, or M&A transactions.
• Experience in listed-company or public-market environments, ensuring alignment with global best practices.
