Position Overview

We are seeking a highly skilled and motivated Legal Counsel to join our dynamic legal team. In this pivotal role, you will play a critical part in safeguarding the organization’s interests by providing expert legal guidance, ensuring regulatory compliance, and managing a diverse portfolio of commercial and corporate matters. The ideal candidate will possess a strong foundation in Saudi Arabian law, exceptional analytical abilities, and a keen commercial acumen to support strategic decision-making. Key Responsibilities

The Legal Counsel will be responsible for a wide range of legal functions, including but not limited to:

• Contract Management: Review, draft, negotiate, and amend commercial contracts and legal documents to ensure alignment with business objectives while mitigating legal risks. This includes handling agreements related to partnerships, vendor relationships, and client engagements.
• Legal Advisory: Provide timely and practical legal advice on contractual matters, corporate activities, and day-to-day business operations to senior management and relevant stakeholders. Your insights will be instrumental in shaping business strategies and ensuring legal soundness.
• Corporate Governance: Support corporate structuring, restructuring, entity establishment, and other corporate transactions to optimize organizational efficiency and compliance. This includes advising on governance frameworks and ensuring adherence to best practices.
• Regulatory Compliance: Advise on and oversee compliance with applicable Saudi Arabian laws and regulations, ensuring the Company remains in full adherence to legal requirements. This involves monitoring changes in legislation and implementing necessary adjustments to policies and procedures.
• Legal Research and Analysis: Conduct comprehensive legal research and demonstrate strong analytical skills to address complex legal issues. Your ability to interpret laws and regulations will be crucial in providing clear, actionable advice.
• Stakeholder Collaboration: Work closely with internal teams, including finance, operations, and executive leadership, to align legal strategies with business goals. Additionally, coordinate with external legal counsel and regulatory authorities as needed to resolve legal matters efficiently.
• Documentation and Record-Keeping: Maintain meticulous records of legal documents, corporate filings, and contract files to ensure accuracy and accessibility. This includes managing corporate governance documentation and ensuring compliance with record-keeping requirements.
• Project Management: Manage multiple legal assignments, priorities, and deadlines with precision, demonstrating exceptional organizational and time-management skills. Your ability to handle high-pressure situations while delivering high-quality work will be essential.

Qualifications and Experience

To excel in this role, candidates must meet the following mandatory requirements:

• A Bachelor’s degree in Law from an accredited university.
• Minimum of three years of post-qualification legal experience, gained either at a reputable law firm or within an in-house legal department.
• Proven experience in commercial contracts, corporate matters, and regulatory compliance, with a strong understanding of Saudi Arabian legal frameworks.
• Fluency in both Arabic and English, both written and spoken, to effectively communicate with stakeholders and navigate legal documentation.

While not mandatory, the following qualifications will be considered advantageous:

• A valid license to practice law in Saudi Arabia.
• A Master of Laws (LL.M.) degree from an accredited university.
