Position Overview
The Governance Manager serves as a pivotal figure in upholding and enhancing corporate governance standards across BIHG and its subsidiaries. This role is instrumental in ensuring robust governance frameworks, regulatory compliance, and alignment with best practices to support the organization’s strategic objectives. The Governance Manager will collaborate closely with the Board, General Assembly, and subsidiary leadership to foster a culture of transparency, accountability, and ethical conduct.
Key Responsibilities
The Governance Manager will undertake a diverse range of responsibilities to strengthen governance practices, including:
- Board Governance & General Assemblies:
- Prepare, draft, and review Board reports and governance-related materials in strict adherence to regulatory and internal requirements.
- Facilitate Board and committee governance activities, ensuring alignment with approved governance frameworks and regulatory standards.
- Support the preparation, coordination, and execution of General Assembly meetings in compliance with applicable laws and internal policies.
- Ensure the accuracy, completeness, and timely delivery of governance documentation and related activities.
- Governance Policies & Charters:
- Develop, review, and update corporate governance policies, frameworks, and procedures to reflect evolving regulatory and business needs.
- Create and maintain Board and committee charters that align with governance requirements and industry best practices.
- Ensure internal policies are harmonized with the Group’s overarching policy framework to promote consistency and coherence.
- Identify opportunities to enhance governance policies, procedures, and practices across the organization.
- Governance Compliance:
- Monitor compliance with corporate governance regulations, internal policies, and governance requirements to mitigate risks and ensure adherence.
- Conduct assessments to identify gaps, areas of non-compliance, and opportunities for improvement in governance practices.
- Recommend and support the implementation of corrective actions to address identified issues and enhance governance effectiveness.
- Provide expert guidance to stakeholders on governance requirements, policies, and best practices to foster a culture of compliance.
- Subsidiary Governance:
- Support the development and implementation of governance structures across subsidiaries to ensure alignment with Group standards.
- Monitor subsidiary compliance with Group governance policies, frameworks, and requirements to maintain consistency and mitigate risks.
- Strengthen governance practices governing the relationship between the holding company and its subsidiaries.
- Collaborate with subsidiary management and corporate functions to ensure the consistent application of governance standards across the Group.
- Stakeholder Management & Governance Advisory:
- Build and maintain effective working relationships with subsidiaries and corporate functions to facilitate seamless governance operations.
- Provide governance advice and support to relevant stakeholders on complex governance matters, ensuring alignment with business objectives and Group strategy.
- Analyze governance challenges, identify root causes, and recommend practical, actionable solutions to enhance governance effectiveness.
Qualifications & Experience
To excel in this role, candidates must meet the following requirements:
- A Bachelor’s degree in Management, Law, or an equivalent field.
- A minimum of 8 years of professional experience in corporate governance or company law, with a proven track record of delivering governance excellence.
- At least 3 years of corporate governance experience within a listed company, demonstrating familiarity with the unique challenges of publicly traded organizations.
- A minimum of 2 years of experience within a holding company environment, with a deep understanding of governance structures and relationships in complex corporate settings.
- Strong knowledge of Board governance, General Assembly procedures, governance policies, charters, and regulatory compliance frameworks.
- In-depth understanding of holding company and subsidiary governance structures, including the dynamics of governance relationships across a corporate group.
- Proven experience in developing and reviewing governance policies, frameworks, Board charters, and committee charters to align with regulatory and strategic objectives.
- Professional certifications or training in corporate governance, such as ICCGO or Saudi Corporate Governance Code training, are highly desirable and will be considered a strong asset.
