M&A Senior Manager

Role Overview

The M&A Senior Manager plays a pivotal role in identifying, evaluating, and executing strategic mergers and acquisitions (M&A) opportunities that align with the organization’s long-term growth objectives. This position requires a seasoned professional with deep expertise in financial analysis, valuation methodologies, and deal execution to drive value creation for the Group. The role holder will collaborate closely with internal stakeholders and external advisors to ensure seamless transaction processes while maximizing returns on investments.

Key Responsibilities

The M&A Senior Manager will be responsible for the following core functions:

• Opportunity Evaluation & Strategic Analysis: Conduct comprehensive research and financial analysis to assess potential M&A targets, providing initial strategic fit comparisons to support decision-making processes.
• Financial Modeling & Valuation: Develop detailed financial models and valuation analyses for each deal using industry-standard methodologies, including Discounted Cash Flow (DCF), multiples, and Internal Rate of Return (IRR).
• Deal Execution & Collaboration: Lead and oversee cross-functional teams, including internal departments and external advisors, to facilitate the execution of M&A transactions while ensuring alignment with business policies and procedures.
• Financial Impact Assessment: Analyze the financial implications of proposed investments or divestments on the Group’s financial statements to inform strategic decision-making.
• Investment Platform Utilization: Leverage advanced financial platforms such as Bloomberg and Capital IQ to develop robust business cases and valuation frameworks.
• Subsidiary Advisory: Provide expert valuation guidance to stc’s subsidiaries on potential acquisition targets, ensuring consistency and accuracy in assessment methodologies.
• M&A Database Management: Develop, maintain, and update a comprehensive M&A and valuation database, including trading and transaction multiples for regional and international peers in the telecom and ICT sectors, Weighted Average Cost of Capital (WACC) parameters, and latest deal announcements.
• Due Diligence Oversight: Actively participate in the entire M&A due diligence process, from the selection of due diligence advisors to the finalization of deal closings, ensuring thorough risk assessment and compliance.

Qualifications & Experience

To qualify for this role, candidates must meet the following criteria:

• Education: A Bachelor’s degree in Finance, Investment, or a related field is required. A Master’s degree in Finance or Investment is highly preferred.
• Professional Certifications: Possession of the Chartered Financial Analyst (CFA) designation is a significant advantage.
• Experience: A minimum of 7 to 9 years of progressive experience in Finance and Mergers & Acquisitions, with a strong preference for candidates with prior exposure in the telecom industry.

Job Band & Reporting Structure

This position is classified under the Senior Management Expert (SME) band, reporting directly to senior leadership to drive strategic M&A initiatives and contribute to the Group’s financial growth and expansion objectives.
