Key Responsibilities

The Governance Manager will be responsible for leading the implementation and continuous improvement of the organization’s governance framework. Your core responsibilities will include:

• Framework Development and Enhancement: Spearheading the implementation and ongoing refinement of the corporate governance framework in alignment with local regulatory requirements and international best practices to ensure organizational resilience and effectiveness.
• Policy and Procedure Management: Developing, reviewing, and maintaining comprehensive governance policies, procedures, charters, and documentation to establish clear guidelines for decision-making and operational integrity.
• Structural and Operational Reviews: Conducting periodic assessments of governance structures, frameworks, and operating practices to evaluate their effectiveness and ensure alignment with organizational objectives and evolving industry standards.
• Compliance and Regulatory Coordination: Ensuring strict adherence to governance policies, Delegation of Authority (DoA), and regulatory requirements while collaborating with compliance and relevant departments to address governance-related matters and mitigate risks.
• Governance Reporting and Communication: Overseeing the preparation and presentation of governance reports, dashboards, and executive summaries for senior leadership, the Board, and Board Committees to facilitate informed decision-making and strategic oversight.
• Committee Support and Coordination: Providing dedicated support to governance committees by organizing meetings, tracking resolutions, and monitoring the implementation of action items to ensure timely and effective follow-through.
• Gap Analysis and Process Improvement: Identifying governance gaps and recommending innovative solutions to enhance governance maturity, organizational effectiveness, and overall performance.
• Stakeholder Engagement and Awareness: Offering expert guidance to business units on governance requirements and fostering a culture of governance awareness across the organization through training and communication initiatives.
• Regulatory Monitoring and Framework Updates: Staying abreast of changes in governance regulations, industry trends, and best practices to recommend timely updates to the governance framework and ensure ongoing compliance.
• Strategic Governance Initiatives: Leading governance-related projects and special initiatives that enhance accountability, transparency, and organizational performance, contributing to the entity’s long-term success and sustainability.

Qualifications and Experience

To excel in this role, you must possess the following qualifications and experience:

• A Bachelor’s degree in Business Administration, Law, Corporate Governance, Public Administration, or a closely related field from a recognized institution.
• A minimum of 7 years of progressive experience in corporate governance, compliance, internal control, risk management, or a related discipline, with a proven track record of delivering impactful governance solutions.
