Position Overview
We are seeking a highly organized and detail-oriented Secretary to the Board of Directors to ensure the smooth and efficient operation of our corporate governance processes. This pivotal role will serve as the backbone of the Board’s administrative functions, facilitating seamless communication, meticulous documentation, and strict adherence to governance protocols. Key Responsibilities
The Secretary to the Board of Directors will play a critical role in supporting the Board’s decision-making processes and ensuring compliance with regulatory requirements. Primary responsibilities include:
- Agenda Coordination: Collaborate closely with senior management to develop comprehensive meeting agendas, ensuring alignment with strategic objectives and compliance with governance standards. Distribute meeting invitations well in advance, including all necessary supporting documents and materials.
- Meeting Documentation: Attend all Board meetings, accurately record proceedings, discussions, and resolutions. Prepare detailed and precise minutes that capture key points, decisions, and action items for future reference.
- Minute Circulation & Follow-Up: Finalize and circulate official meeting minutes to all relevant stakeholders in a timely manner. Monitor the implementation of Board decisions, ensuring accountability and progress tracking among designated personnel.
- Record Maintenance: Maintain a secure and organized repository of all Board-related documents, including minutes, resolutions, policies, and governance frameworks. Ensure compliance with legal and regulatory archiving requirements.
- Governance & Compliance Support: Provide expert guidance on corporate governance best practices, ensuring the Board operates in accordance with applicable laws, regulations, and internal policies. Stay abreast of evolving governance trends and regulatory changes to advise the Board proactively.
- Stakeholder Communication: Act as a liaison between the Board, management, and external stakeholders, facilitating clear and professional correspondence. Address inquiries related to Board activities and governance matters with confidentiality and precision.

Qualifications & Experience
Candidates for this role should meet the following criteria:
- A Bachelor’s degree in Law, Business Administration, or a related field. Advanced degrees or certifications in governance, such as Certified Corporate Secretary (CCS), are highly desirable.
- Minimum of 3-5 years of experience in a corporate governance, legal, or administrative role, with direct exposure to Board-level functions preferred.
- Familiarity with corporate governance frameworks, labor laws, and regulatory compliance requirements is advantageous.
- Proficiency in Microsoft Office Suite, particularly Word and Excel, and experience with governance software or document management systems is a plus.
