Key Responsibilities:

• Leadership in Governance Framework Development: Spearhead the continuous improvement of our corporate governance framework, ensuring it remains robust, adaptive, and aligned with international standards and local regulatory requirements.
• Authority and Compliance Alignment: Oversee the Delegation of Authority (DoA) and authority matrix to guarantee they reflect current business priorities, regulatory expectations, and governance best practices.
• Board and Committee Support: Serve as a trusted advisor to the Board and its committees, providing expert guidance on governance, compliance, and fiduciary responsibilities to facilitate informed and strategic decision-making.
• Policy and Procedure Development: Design, communicate, and maintain comprehensive governance policies and procedures across the organization, ensuring clarity, consistency, and adherence to constitutional and regulatory documents.
• Internal Governance Enhancement: Conduct regular reviews of internal policies, manuals, charters, and processes to identify gaps and opportunities for improvement, ensuring full compliance with governance standards.
• Cultural Stewardship: Champion a culture of transparency, accountability, ethical conduct, and risk awareness, fostering an environment where governance is embedded in every aspect of our operations.

Candidate Requirements:

We are seeking a distinguished professional with the following qualifications and experience:

• Saudi Nationality: This role is exclusively available to Saudi nationals.
• Proven Expertise: Minimum of 13 years of experience in corporate governance, board affairs, compliance, or company secretarial functions, with a strong focus on large-scale organizations within the energy or oil & gas sector in Saudi Arabia.
• Sector-Specific Knowledge: Deep understanding of governance frameworks, regulatory compliance, and risk management principles as they apply to the energy and oil & gas industries.
• Educational Background: Bachelor’s degree in Law or a related field is required. A Master’s degree in Law or a relevant discipline is highly advantageous.
• Professional Certifications: Certifications such as CCEP, GRC Professional Certification, or CISA are beneficial and will be viewed favorably.
