We are seeking a dynamic and visionary Director of Legal Compliance & International Affairs to lead our legal strategy, ensure regulatory adherence, and safeguard our global operations with unparalleled expertise.

In this high-impact role, you will serve as the strategic legal and compliance leader for our international subsidiaries, driving excellence in governance, risk management, and cross-border legal affairs. This position demands a seasoned professional with a deep understanding of international law, regulatory frameworks, and corporate governance—someone who can provide senior management and the Board with forward-thinking legal counsel while ensuring seamless compliance across diverse jurisdictions.

Key Responsibilities:

You will be responsible for overseeing a broad spectrum of legal and compliance functions, including:

• Strategic Legal Leadership: Provide senior management and the Board with expert legal guidance on international matters, ensuring alignment with global business objectives and regulatory requirements.
• Cross-Border Compliance: Lead the establishment, registration, licensing, and regulatory compliance of international entities, ensuring seamless expansion and operational integrity across borders.
• Contract and Agreement Management: Draft, review, negotiate, and manage domestic and international contracts, memoranda of understanding (MOUs), and employment agreements, mitigating risks and fostering strong partnerships.
• Dispute Resolution and Litigation: Oversee domestic and international litigation, arbitration, and disputes, coordinating with external legal counsel to protect the company’s interests and resolve conflicts efficiently.
• Intellectual Property Protection: Safeguard and manage the company’s global intellectual property rights, ensuring robust legal frameworks are in place to protect innovations and proprietary assets.
• Regulatory and Risk Monitoring: Stay ahead of global legal and regulatory developments, implementing proactive risk mitigation strategies to safeguard the company’s operations.
• Stakeholder Relations: Build and maintain strong relationships with international partners, government authorities, and regulatory bodies, ensuring compliance and fostering collaborative legal solutions.
• Policy and Process Improvement: Drive enhancements in legal policies, procedures, and service delivery, ensuring alignment with NAQEL’s strategic goals and operational excellence.
• Board Support: Provide Board Secretary functions (preferred), ensuring effective governance, transparency, and adherence to corporate governance best practices.

Qualifications and Skills:

To excel in this role, you must possess a robust blend of legal expertise, strategic acumen, and cross-cultural proficiency. We are seeking a candidate with:

• Education: A Bachelor’s degree in Law is mandatory, with a Master’s degree or equivalent in law, business, or a related field being highly advantageous.
• Experience: Minimum 10 years of legal and compliance experience, including at least 5 years in a senior leadership role, with a proven track record in international legal and compliance environments.
• Technical Competencies:
  • Deep knowledge of corporate, commercial, and international law, with expertise in cross-border transactions, M&A, and regulatory compliance.
  • Proven experience in compliance frameworks, including Anti-Money Laundering (AML), anti-bribery, sanctions, and data protection regulations.
  • Ability to interpret and apply complex legal and regulatory requirements, ensuring adherence to global standards and local jurisdictions.
  • Expertise in contract negotiation, litigation management, and policy development, with a focus on risk mitigation and strategic legal solutions.
• Language Proficiency: Fluency in both Arabic and English is essential, enabling effective communication with stakeholders across diverse cultural and linguistic backgrounds.
