In this pivotal role, you will play a critical part in ensuring robust governance frameworks, policy adherence, and transparent decision-making processes across our corporate portfolio. Key Responsibilities

As the Assistant Manager – Governance, your responsibilities will include:

  • Governance Oversight: Review and reinforce governance structures, committee operations, decision rights, and governance calendars to ensure alignment with approved authorities and transparent decision-making processes.
  • Policy Compliance: Monitor policy adoption, review cycles, and exceptions within your assigned portfolio, ensuring full compliance and accountability across all levels.
  • Delegation Management: Verify and validate delegation of authority schedules, ensuring they adhere to predefined limits and organizational standards.
  • Committee Support: Prepare and review governance committee papers, agendas, minutes, and decision logs to maintain high standards of documentation and accountability.
  • Record-Keeping and Reporting: Maintain comprehensive governance records, registers, and compliance documentation, ensuring accuracy, completeness, and audit readiness.
  • Conflict of Interest Management: Oversee conflict of interest disclosures and declarations to uphold ethical standards and transparency.
  • Compliance Assurance: Identify and escalate governance deviations to leadership, ensuring timely resolution and continuous improvement.
  • Guidance and Templates: Develop and tailor governance templates and guidance materials to meet the specific needs of your assigned portfolio.
  • Assessments and Reviews: Conduct governance assessments and maturity reviews to evaluate and enhance governance effectiveness.
  • Collaboration with Legal: Work closely with the Legal Division to address statutory matters and ensure portfolio-level compliance with regulatory requirements.
  • Action Tracking: Monitor governance compliance, records status, and outstanding actions, ensuring proactive management and resolution.
  • Quality Assurance: Validate all governance outputs for accuracy, completeness, and compliance before submission to stakeholders.

Qualifications and Experience

To excel in this role, you will bring:

  • A Bachelor’s degree in Business Administration, Law, Corporate Governance, or a related field.
  • Minimum 6 years of relevant experience in governance, compliance, or a related discipline, with a proven track record of driving operational excellence.
  • Strong analytical and organizational skills to manage complex governance frameworks and ensure adherence to regulatory and organizational standards.
  • Exceptional attention to detail and a commitment to maintaining high standards of documentation and transparency.
  • Proven collaboration skills to work effectively with cross-functional teams, including Legal, Finance, and operational departments.
  • Excellent communication abilities to prepare reports, present findings, and engage with stakeholders at all levels.
  • A proactive and solution-oriented mindset to identify governance gaps and implement corrective actions.
