Senior Finance Director

Position Overview

Our client, a rapidly expanding technology enterprise, is in search of a visionary and commercially astute Senior Finance Director to spearhead its finance function during a critical phase of growth. Reporting directly to the Chief Executive Officer, this senior executive will collaborate closely with the Board of Directors and shareholders to formulate corporate strategy, enhance financial performance, secure essential capital, execute strategic acquisitions, and prepare the organization for a future initial public offering (IPO). This pivotal leadership role demands a seasoned finance professional with extensive expertise in corporate finance, capital markets, fundraising, and mergers and acquisitions within a dynamic technology environment.

Key Responsibilities

Strategic Leadership & Financial Governance

As the primary strategic finance partner to the CEO, you will play an instrumental role in shaping the company’s long-term vision and value creation strategies. Your responsibilities will include:

• Leading the development and execution of corporate financial strategy, capital allocation, and comprehensive business planning initiatives.
• Providing forward-looking financial insights to guide growth initiatives, expansion opportunities, and high-impact investment decisions.
• Ensuring robust financial governance, compliance with international financial reporting standards (IFRS), and adherence to Saudi regulatory requirements.

Capital Raising & Investor Relations

You will be responsible for driving all capital raising activities and maintaining strong relationships with key stakeholders, including:

• Leading equity and debt fundraising initiatives with institutional investors, private equity firms, venture capitalists, and financial institutions.
• Developing compelling investment materials, financial models, and business cases tailored to investor and lender expectations.
• Managing relationships with shareholders, investors, banking partners, and external financial advisors to foster trust and transparency.

Mergers & Acquisitions (M&A)

Your expertise will be critical in identifying, evaluating, and executing strategic transactions that drive value, including:

• Leading the end-to-end M&A process, from origination, valuation, and due diligence to negotiation, execution, and post-acquisition integration.
• Developing sophisticated financial models and transaction structures to support acquisition decisions and maximize synergies.
• Overseeing the seamless integration of acquired entities to ensure alignment with corporate objectives and the realization of anticipated benefits.

IPO Readiness & Public Market Preparation

As the company prepares for a potential IPO, you will lead the transformation of its finance function to meet the rigorous demands of public markets, including:

• Developing and executing a comprehensive IPO readiness strategy that aligns finance, governance, reporting, and internal controls with public market standards.
• Collaborating with investment banks, legal advisors, auditors, and regulatory bodies throughout the listing process to ensure compliance and market readiness.
• Supporting all financial aspects of the IPO to facilitate a successful public offering.

Financial Leadership & Operational Excellence

You will oversee all financial operations to ensure efficiency, accuracy, and strategic alignment, including:

• Leading financial planning and analysis (FP&A), budgeting, forecasting, treasury management, cash flow optimization, and financial reporting.
• Ensuring strong internal controls, risk management frameworks, and compliance with tax regulations.
• Driving continuous improvement in financial processes through automation, digital transformation, and operational excellence initiatives.

Leadership & Organizational Development

In addition to your strategic and operational responsibilities, you will be tasked with building and leading a high-performing finance team, including:

• Recruiting, mentoring, and developing top-tier finance talent to support the company’s growth trajectory.
• Fostering a culture of accountability, performance excellence, and continuous innovation within the finance organization.
• Driving finance transformation initiatives to enhance efficiency, scalability, and strategic impact.

Candidate Profile

Qualifications & Experience

To excel in this role, you must possess the following qualifications and professional background:

• A bachelor’s degree in Finance, Accounting, Economics, or a closely related field, with an MBA and/or professional certification (CPA, ACA, ACCA, or CMA) strongly preferred.
• A minimum of 15 years of progressive finance leadership experience, with a proven track record as a Finance Director, Senior Finance Director, Vice President of Finance, or Chief Financial Officer within a technology, SaaS, fintech, software, or digital business environment.
• Mandatory experience working in Saudi Arabia, with a deep understanding of local regulatory frameworks, tax obligations, and business practices.
• Demonstrated success in leading capital raising efforts, including debt financing and investor engagement strategies.
• A proven ability to execute complex M&A transactions from origination through successful integration and synergy realization.
• Hands-on experience preparing a company for an IPO or supporting a public listing, with a strong grasp of the associated financial, regulatory, and operational requirements.
• Expertise in corporate finance, financial modeling, valuation methodologies, treasury management, and capital markets.
• Native fluency in Arabic and professional proficiency in English.
